Code of Conduct

As employees of Lanx, we can take great pride in the knowledge that our actions directly impact the ability of patients to regain their quality of life on a daily basis. We are committed to a culture of performance, innovation and trust. Integrity is the foundation on which we build our business practices. Because our success is so closely related to our reputation, it is up to all of us to keep it strong. It is our responsibility to always act in a manner which assures that our customers, stakeholders, and competitors trust us every day.

This Code of Conduct explains our commitment to integrity and to compliance with the law and our guiding principles and is a strong statement about how we must behave in a wide range of business settings. With clear policies and guidance for business practices, the Code is the cornerstone for our ethics and compliance program. This Code applies to all of our employees worldwide, as well as to the members of our Board of Directors, and our independent distributors, agents and representatives. It is critical that you read this Code carefully. As we continue to grow it is imperative that each of you make a personal commitment to comply with the principles and policies set forth or referred to in this Code.

HCP Interactions Policy

Lanx's interactions with health care professionals are intended to inform health care professionals about Lanx products and to provide relevant scientific and educational information to support patient care and the practice of medicine. In no case shall Lanx representatives offer or provide anything of value to a health care professional or other person or entity in a position to influence use of Lanx products, in order to induce them to purchase, prescribe, use, recommend or make favorable formulary recommendations concerning Lanx products.

This Policy governs relationships and interactions between Lanx and health care professionals. The purpose of this Policy is to ensure that these interactions comply with all applicable federal health care program requirements, FDA requirements, other Lanx policies, and the principles set forth in the Advanced Medical Technology Association's Code of Ethics on Interactions with Health Care Professionals ("AdvaMed Code").

AdvaMed Code of Ethics

AdvaMed Code of Ethics SupporterThe Advanced Medical Technology Association ("AdvaMed") is dedicated to the advancement of medical science, the improvement of patient care, and in particular to the contribution that high quality, cost-effective health care technology can make toward achieving those goals. The AdvaMed Code of ethics was developed as a guideline for medical technology companies to follow to assure interactions with Health Care Professionals are conducted in an ethical and legal manner. Lanx fully embraces this code and recognizes that Health Care Professionals' first duty is to act in the best interests of patients. Companies can serve the interests of patients through beneficial collaborations with Health Care Professionals. To ensure that these collaborative relationships meet high ethical standards, they must be conducted with appropriate transparency and in compliance with applicable laws, regulations and government guidance. AdvaMed recognizes the obligation to facilitate ethical interactions between companies and Health Care Professionals in order to ensure that medical decisions are based on the best interests of the patient. The ethical principles that govern these interactions are the subject of this Code of Ethics.

Compliance and Ethics Hotline

REPORTING MISCONDUCT

Lanx is committed to conducting every facet of its business activities in compliance with all applicable laws and regulations, as well as the Lanx Code of Conduct and other company policies and procedures. As a matter of policy, Lanx Personnel are required to report, either in person to their manager, supervisor, the Chief Compliance Officer or via the Compliance Hotline described below, known or suspected violations of applicable law or regulation, this Code or other Company policies.

If you withhold information that you know to be related to an actual or suspected violation of these guidelines, you may be subject to disciplinary action, including possible termination. In addition to disciplinary action, to the extent Lanx Personnel fail to comply with any of these requirements, they may be individually subject to legal action, which may include fines and criminal charges under applicable laws.

To make it easier to ask questions, express concerns or report such information, Lanx has established and, through a third-party service provider, administers a Compliance Hotline. You may use either of the following methods to submit a report through the Compliance Hotline.

Internet Web Submissions:

All reports submitted are confidential. An individual may make an anonymous report if he or she desires. Lanx will investigate and follow up on all reports. You will receive a unique code after making a report which can be used to follow up on the status of the investigation into your report. Lanx prohibits retaliation against any individual for, or because, such individual makes a good faith report of a known or suspected violation. Lanx will strive to maintain the confidentiality of any reporting person. It must be understood, however, that it may be necessary to disclose the identity of that reporting person in situations where Lanx is compelled to do so by government or court order.
